2. Eligibility and Account Registration

To use NioSpark, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts
• Not be prohibited from using the service under any applicable laws
• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and complete
• Not create multiple accounts

3. Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring you log out at the end of each session

We will not be liable for any loss or damage arising from your failure to maintain account security.

4. Services and Pricing

NioSpark offers both complimentary and paid services:

• Matchmaking Services: Available to all registered members
• VIP Priority: Premium subscription with enhanced features and priority matching
• Counselling Services: Professional relationship counseling (paid service)
• Events & Meetups: In-person and virtual events (may require payment)

All paid services are clearly marked with their respective prices. Prices are subject to change with notice. Payment terms are outlined in our Refund Policy.

5. User Conduct and Prohibited Activities

You agree NOT to:

• Use the service for any illegal or unauthorized purpose
• Harass, abuse, threaten, or harm other users
• Post false, misleading, fraudulent, or defamatory information
• Impersonate any person or entity
• Collect or store personal information about other users without consent
• Use automated systems (bots, scrapers) to access the service
• Interfere with or disrupt the service or servers
• Upload viruses, malware, or harmful code
• Spam other users or send unsolicited commercial messages
• Violate any applicable laws or regulations

6. Content Ownership and License

Your Content: You retain ownership of content you post on NioSpark. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, modify, display, and distribute such content for the purpose of providing and promoting our services.

Our Content: All content on the platform, including text, graphics, logos, and software, is the property of NioSpark and is protected by copyright and intellectual property laws.

7. Profile Verification

We may verify user profiles to ensure authenticity and safety. Verified profiles receive a badge. Verification does not guarantee the accuracy of all information or the character of the user.

8. Matchmaking Disclaimer

NioSpark provides matchmaking services to help members find compatible partners. However, we do NOT:

• Guarantee that you will find a match or relationship
• Conduct background checks on all members (unless verified)
• Take responsibility for the conduct of members off the platform
• Guarantee the accuracy of information provided by other members

Use the service at your own risk. Exercise caution when meeting people in person.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

10. Payment and Subscriptions

For paid services:

• Payment is required before accessing premium features
• Subscriptions auto-renew unless cancelled before the renewal date
• Refund eligibility is governed by our Refund Policy
• We use secure third-party payment processors

11. Limitation of Liability

To the fullest extent permitted by law, NioSpark shall NOT be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Service interruptions or errors
• Actions or conduct of users on or off the platform
• Unauthorized access to your account

Our total liability shall not exceed the amount you paid to us in the past 12 months.

12. Indemnification

You agree to indemnify and hold harmless NioSpark, its affiliates, and their respective officers, directors, and employees from any claims, damages, or expenses arising from your use of the service or violation of these terms.

13. Termination

We reserve the right to:

• Suspend or terminate your account at any time for violation of these terms
• Remove content that violates our policies
• Refuse service to anyone for any reason

You may delete your account at any time through your account settings.

14. Dispute Resolution

Any disputes arising from these terms or your use of the service shall be resolved through:

• Good faith negotiation
• Mediation if negotiation fails
• Arbitration as a final resort

15. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or platform notification. Your continued use of the service after changes constitutes acceptance of the updated terms.

These terms shall be governed by and construed in accordance with the laws of the jurisdiction where NioSpark operates, without regard to conflict of law principles.
